Flowers Foods

THOMASVILLE, GA. — Bradley K. Alexander, executive vice-president and chief operating officer of Flowers Foods, Inc., has exercised stock options for 88,200 shares.

In a Form 4 filed with the Securities and Exchange Commission on Nov. 16, Flowers said Mr. Alexander purchased 88,200 shares of Flowers stock on Nov. 14 at a price of $11.11 per share, equating to nearly $1 million. On Nov. 14, he sold 60,000 shares at $16.23 per share, and on Nov. 15 he sold 9,850 shares at a price of $16.24 per share.

“Solely to cover the exercise price and related tax liability, Mr. Alexander sold shares of Flowers Foods common stock obtained through this option exercise in the open market,” the company said.

Flowers said the options were granted to Mr. Alexander in 2010 under the company’s equity and performance incentive plan and will expire in February 2017.

Following the completion of this exercise, Mr. Alexander will hold direct ownership of 230,835 shares of Flowers Foods’ common stock, which Flowers said is “well in excess of the company’s stock ownership guidelines.”
